Health care mergers and acquisitions can help hospitals and medical facilities work more together and manage care for improved patient results. For example, general provider offices and specialty medicine offices can work together providing each other referrals for patient care. Another reason health care alliance can be a good idea are capital needs and regulatory needs (Smidt & MacKenzie, 2015).

There are several actions to be taken, and trials to surmount, to conclude an efficacious healthcare merger or acquisition. Some of the most significant matters to consider include deal structure, due diligence, contractual protections and integration strategy (Smidt & MacKenzie, 2015).

Government regulation prevents market failure of the healthcare system. The government monitors the healthcare standards preventing poor service in private sectors. It also prevents discrimination. Private companies such as insurance companies discriminate against patients based on demographic issues and prior health issues. The Affordable Care Act (ACA) has made a profound change in the health care competitive landscape,one that Congress may not have intended. The emphasis on value-based, rather than service-based, reimbursement is shifting insurance risk from the payers to hospitals and other healthcare organizations. Most healthcare professionals agree that two strategies are proving critical to survival and prosperity: consolidation and specialization.

Providers seeking to improve quality and lower costs are also pursuing other types of affiliations, including joint ventures and joint operation agreements with organizations that have complementary specialties. These alternatives may provide a better way to provide higher quality offerings to patients,as well as increased revenues for the participating providers. The current mergers and acquisitions activity is driven by quality assurance and improvement concerns as much as by financial gain. Properly executed alignments (mergers,partnerships, and affiliations) can eliminate redundant costs, improve operating margins, diversity risk, and enhance access to capital and funding sources.
